Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at joinnoi.com and the NOI revenue platform and services (collectively, the “Services”) offered by NOI (“we,” “us,” or “our”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Services. If you use the Services on behalf of a business or organization, you represent that you have authority to bind that entity.

2. Account registration

To access certain features, you may need to create an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Services description

NOI provides software and related services that help landlords, property developers, HOAs, and build-to-rent operators finance, install, meter, and bill rooftop solar energy. Services may include:

  • Revenue projections and project assessments.
  • Solar installation coordination with partner contractors and financiers.
  • Tenant enrollment, billing, and payment collection via Stripe Connect.
  • Monthly reporting and dashboards.

Specific terms for solar installations, financing, and billing may be set out in separate agreements between you and NOI or our partners.

4. Payments and fees

NOI may charge platform, service, or transaction fees as described in your project proposal, order form, or within the Services. Payouts are made according to the schedule in your agreement. You are responsible for providing accurate banking and tax information. Stripe Connect terms and payment processing terms also apply to transactions processed through Stripe.

5. User responsibilities

You agree to:

  • Provide accurate property, tenant, and financial information.
  • Comply with applicable laws, utility rules, and interconnection requirements.
  • Not misuse the Services, including attempting to access unauthorized systems or data.
  • Obtain any necessary tenant or owner consents for billing and data use.

6. Intellectual property

All content, software, and materials on the Services are owned by NOI or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer our Services except as expressly permitted.

7. Confidentiality and data

You retain ownership of your data. You grant NOI a limited license to use your data to provide, improve, and support the Services. NOI will handle data in accordance with our Privacy Policy.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOI DOES NOT GUARANTEE SPECIFIC REVENUE, NOI UPLIFT, OR ENERGY PRODUCTION OUTCOMES. PROJECTIONS ARE ESTIMATES BASED ON INFORMATION YOU PROVIDE AND MARKET CONDITIONS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO NOI IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify and hold harmless NOI and our officers, employees, and agents from claims arising from your use of the Services, your data, or your violation of these Terms.

11. Termination

Either party may terminate the Services in accordance with the applicable project agreement. NOI may suspend or terminate access if you violate these Terms or if required by law. Upon termination, your right to use the Services ceases, but obligations related to fees, data, and liability survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Delaware. Both parties consent to the jurisdiction of those courts.

13. Changes to these Terms

We may modify these Terms from time to time. We will post the updated Terms on this page with a revised “Last updated” date. Continued use of the Services after changes means you accept the updated Terms.
